Terms of Service

1. Agreement to Terms

By accessing or using the MAPEX Intelligence Services platform ("Service"), website (huit.ai), or any related services provided by Huit.AI ("Company," "we," "us," or "our"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including but not limited to mortgage recruiters, loan officers, lending institutions, and other mortgage industry professionals.

2. Description of Service

MAPEX Intelligence Services provides AI-powered recruiting intelligence, candidate analysis, and market research tools specifically designed for the mortgage industry. Our services include, but are not limited to:

• Recruiting Reports: Comprehensive candidate intelligence and analysis
• Quick Briefs: Condensed candidate triage summaries
• Mirror Reports: Career intelligence for mortgage loan officers
• Defend Services: Retention analytics and risk monitoring
• Landscape Reports: Market-level talent analysis
• Prospect Intelligence: Free talent discovery queries
• Comparison Tables: Side-by-side candidate analysis
• API Access: Programmatic access to intelligence services

All services are delivered through our concierge model with human-assisted AI analysis, unless otherwise specified.

3. Account Registration and Security

3.1 Account Creation

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

3.2 Account Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms. If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for any reason, including but not limited to violation of these Terms, non-payment, or fraudulent activity.

4. Subscription Plans and Payments

4.1 Pricing

Our current pricing is published on our website at huit.ai/pricing. Prices are subject to change with 30 days' notice to existing subscribers.

4.2 Payment Terms

• All fees are quoted and payable in U.S. dollars
• Subscription fees are billed in advance on a monthly or annual basis
• One-time purchases are billed at the time of order
• Payment is due upon receipt of invoice or at checkout

4.3 Automatic Renewal

Subscription plans automatically renew at the end of each billing period unless cancelled prior to the renewal date. You may cancel your subscription at any time through your account settings or by contacting support@huit.ai.

4.4 Refunds

• Subscriptions: No refunds for partial billing periods. You will retain access through the end of your paid period.
• One-time purchases: Refunds may be requested within 7 days of delivery if the report contains material errors. Evaluated case-by-case.
• Credits: Unused report credits do not roll over and are non-refundable.

4.5 Failed Payments

If payment fails, we will attempt to charge your payment method up to three additional times. If payment cannot be processed, your account may be suspended until payment is received.

5. Acceptable Use Policy

5.1 Permitted Uses

You may use the Service for legitimate business purposes related to mortgage industry recruiting, talent management, career planning, and market research.

5.2 Prohibited Uses

You agree NOT to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Engage in discriminatory hiring practices based on any protected characteristic
• Harass, stalk, or harm any individual
• Share, resell, or redistribute reports or data without authorization
• Circumvent, disable, or interfere with security features of the Service
• Use automated systems (bots, scrapers) to access the Service without permission
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Use the Service to develop a competing product or service
• Submit false, misleading, or fraudulent information

5.3 Compliance with Laws

You are responsible for ensuring your use of the Service complies with all applicable federal, state, and local laws, including but not limited to the Fair Credit Reporting Act (FCRA), Equal Employment Opportunity laws, state licensing requirements, and data protection and privacy laws.

6. Intellectual Property

6.1 Our Intellectual Property

The Service and its original content, features, functionality, and all related intellectual property rights are and will remain the exclusive property of Huit.AI. This includes but is not limited to scoring methodologies and algorithms, Transition Likelihood Scoring (TLS) formulas, the Lender Intelligence Database, report templates and formats, software, code, technical implementations, trademarks, logos, and brand elements.

6.2 License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

6.3 Report Ownership

Reports generated through the Service are licensed to you for your internal use only. You may not resell or redistribute reports, publish them publicly without written permission, remove proprietary notices or branding, or use reports to train competing AI systems.

7. Data and Privacy

7.1 Privacy Policy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

7.2 Data Sources

MAPEX reports are compiled from publicly available sources including but not limited to the NMLS Consumer Access database, public LinkedIn profiles, county deed records, HMDA data, public company information, and industry publications.

7.3 Data Accuracy

While we strive for accuracy, we do not guarantee that all information in our reports is complete, accurate, or current. Data from third-party sources may contain errors. You should independently verify critical information before making business decisions.

8. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that use of the Service will result in successful hires, improved retention, or any specific business outcomes. Nothing in the Service constitutes legal, employment, or professional advice.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HUIT.AI, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE.

Our total liability for any claims arising from or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

10. Indemnification

You agree to indemnify, defend, and hold harmless Huit.AI and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses arising from or related to your use of the Service, your violation of these Terms, your violation of any third-party rights, and any employment decisions you make based on information from the Service.

11. Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Alaska, without regard to its conflict of law provisions. Before filing any formal dispute, you agree to contact us at legal@huit.ai to attempt to resolve the dispute informally within 30 days. Any dispute not resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association in Anchorage, Alaska, or remotely at your election.

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website, updating the "Last Updated" date, and sending an email to the address associated with your account. Your continued use of the Service after any modifications constitutes acceptance of the updated Terms.

13. Termination

You may terminate your account at any time by contacting support@huit.ai or through your account settings. We may terminate or suspend your account immediately, without prior notice, for breach of these Terms. Upon termination, your right to use the Service will immediately cease and you will not be entitled to any refund of fees paid.

14. General Provisions

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Huit.AI regarding the Service. If any provision is found to be unenforceable, the remaining provisions will continue in effect. Our failure to enforce any right or provision shall not constitute a waiver.
